Admission to the Qualification system entails that a supplier can be invited to participate in calls for tenders within the category the supplier is admitted onto. The Qualification system includes both EPC categories and supply categories. When BeGreen tenders a project under this system, the different categories may be bundled depending on the scope of the project. For each tender, only suppliers that are qualified and admitted to the category or categories relevant to the specific tender scope will be invited to participate in the call for tender. The Qualification system is established pursuant to Directive 2014/25/EU of 26 February 2014 (the “Utilities Directive”). It is of unlimited duration and will remain in force until BeGreen decides to terminate it.

An economic operator who applies for the qualification system is considered an “applicant”, whereas a qualified economic operator who is invited to participate in a specific tender is considered a “tenderer”. Only the economic operators qualified to be part of the qualification system at the time of a call for tender will be considered in the selection of tenderers. Qualification is therefore a prerequisite for participation in future tenders, but it cannot be regarded as a guarantee of either participation in these tenders or the award of future contracts. BeGreen reserves the right to conduct tenders independently of this qualification system. BeGreen will, when a call for tender is made, award contracts or framework agreements above the threshold value according to the procedures defined in articles 46 and 47. For procurements below the threshold value, BeGreen will outline the procedure in the tender material for the specific call for tender. The process leading to the selection of tenderers is stated in the Instructions for the Qualification system, which can be found in Comdia.

At the request of BeGreen, the applicant shall submit documentation demonstrating that the applicant is not subject to any grounds for exclusion and that the applicant fulfils the suitability requirements for the Qualification system. For economic operators from Denmark, documentation concerning grounds for exclusion grounds shall consist of a Service certificate ("Serviceattest") issued by the Danish Business Authority (Erhvervsstyrelsen). For economic operators from other member states/states, documentation concerning the grounds for exclusion must be identified using e-certis (https://ec.europa.eu/tools/ecertis/#/search) or based on the principles of section 153 of the Public Procurement Act (LBK no. 10 of 06/01/2023). Requirements regarding the validity period of the documentation will be determined in the tender material for the specific procurement or when BeGreen requests the documentation. The applicant must meet the following minimum requirements: Average annual turnover: At least EUR 25.000.000 for the last three available financial years.

If the applicant has not been established for three years, the required information must be provided for the financial years available. The minimum requirement will then apply only to that period.

“The last three available financial years” refers to the most recent approved annual reports available at the time of the application deadline for establishment of the Qualification System (or the relevant deadlines for reopening applications or submission of updated information, cf. section 2.3 of these Instructions to the Qualification System).

As documentation, BeGreen will request the most recent available annual report(s). slc-stand-ratio The applicant shall provide information on its economic and financial standing in Part IV, Section B of the ESPD.

The applicant must meet the following minimum requirement: Average Equity: At least EUR 5.000.000 for the last three available financial years.

If the applicant has not been established for three years, the required information must be provided for the financial years available. The minimum requirement will then apply only to that period.

“The last three available financial years” refers to the most recent approved annual reports available at the time of the application deadline for establishment of the Qualification System (or the relevant deadlines for reopening applications or submission of updated information, cf. section 2.3 of the Instructions to the Qualification System).

For groups of undertakings and applicants relying on the financial capacity of others, a calculation of the average equity ratio must be enclosed.

As documentation, BeGreen will request the most recent available annual report(s). slc-abil-ref-work As part of the application, the applicant must submit a minimum of three (3) and a maximum of five (5) references in the ESPD Part IV.C (“References on performance of deliveries of the specified type”) or in a separate document.

Of the submitted references, at least one (1) reference must meet the following minimum requirement(s): i. Experience with a PV EPC contract with a capacity of minimum 50 MW DC on a single site located in Europe. The reference must have been completed within the last five (5) years.

By "PV EPC contract" is understood a contract under which the applicant has been the main contractor and where the works delivered are similar to the works and services described in section 1 of Annex A – Scope of Categories.

"Completed" shall mean that all services and works covered by the contract have been completed and formally handed over within the past five (5) years, as calculated from the date of applying for admission on the qualification system.

For the minimum requirement, “Europe” shall mean all ENTSO-E members of Continental Europe as defined in Annex J – Grid map of Continental Europe, with the addition of Great Britain.

The applicant should ensure that the following information is provided for all references: • Customer entity • Start date and end date of the project the reference concerns • Capacity size of the project the reference concerns (capacity size is to be noted as ”MW DC”) • A detailed description of reference (i.e. the services and/or works and/or supplies delivered by the applicant, including if the project was a co-located project involving PV plants and/or BESS and a description of the role carried out by the applicant in the project). • Geographic location of the project, specified to country and region within the country • Performance ratio for the first year of operation of the plant that the reference concerns (if relevant)

Mechanical work covers supply and installation of mounting structures, installation of PV modules, and string cabling. The certificates should be valid at the time of application and be maintained throughout the duration of the Qualification system. The scope of each provided certificate shall cover activities relevant to the delivery of Local controls (e.g. hardware supply, factory configuration and testing, commissioning, cybersecurity compliance documentation, remote access capabilities, grid compliance documentation and support, and post-sales technical support). slc-sche-env-cert-indep The applicant should provide documentation that the applicant holds valid management system certificates issued by an accredited certification body for: - ISO 14001 (Environmental Management System) or equivalent. The applicant must meet the following minimum requirements:

Average annual turnover: At least EUR 1.000.000 for the last three available financial years.

If the applicant has not been established for three years, the required information must be provided for the financial years available. The minimum requirement will then apply only to that period.

“The last three available financial years” refers to the most recent approved annual reports available at the time of the application deadline for establishment of the Qualification System (or the relevant deadlines for reopening applications or submission of updated information, cf. section 2.3 of the Instructions to the Qualification System).

Of the submitted references, at least one (1) reference must meet the following minimum requirement(s): i. Experience with delivery of local controls including related services and supplies as described in section 8 of Annex A – Scope of Categories, for operational Type D plants of at least 50 MW AC capacity that are compliant with Energinet’s (the Danish transmission system operator’s) NC RfG National requirements for grid connection of generation facilities and with Energinet’s (the Danish transmission system operator’s) the NC RfG Appendix B concerning Simulation models. The reference must be completed within the last three (3) years.

By “operational Type D plants” is understood Type D plants that have reached final operational notice (FON).

"Completed" shall mean that all services and works covered by the contract have been completed and formally handed over within the past three (3) years, as calculated from the date of applying for admission on the qualification system.

Contracts relating to call-offs under framework agreements may be used as references insofar as the work and services under the call-off have been completed.

The applicant should ensure that the following information is provided for all references: • Customer entity • Start date and end date of the project the reference concerns • Capacity size of the project the reference concerns (capacity size is to be noted as ”MW AC”) • A detailed description of reference (i.e. the services and/or works and/or supplies delivered by the applicant, including if the project was a co-located project involving PV plants and/or BESS and a description of the role carried out by the applicant in the project). • Geographic location of the project, specified to country and region within the country • Which permit (EON, ION or FON) the project has obtained at the reference end date • Which type of plant the reference concerns (Type A, Type B, Type C or Type D as defined in the Commission Regulation (EU) 2016/631 of 14 April 20216) slc-abil-ref-supply Selection of tenderers will happen in one of the following 4 ways:

1) Reference and standards-based selection (procurement-specific) Selection based on the relevance of references and requested standards submitted under the Qualification System, assessed against the specific requirements of the procurement (e.g. geographic relevance, capacity, scope, and similarity of works or services).

2) Reference-based selection (main category) Selection based on references submitted for the primary category relevant to the procurement.

3) Invitation to all qualified applicants All admitted applicants within the relevant category(-ies) may be invited to submit an initial tender. BeGreen may subsequently reduce the number of tenderers based on an evaluation of the initial tenders, in accordance with the disclosed award criteria.

4) Additional prequalification stage BeGreen may carry out a contract-specific prequalification stage based on objective and proportionate criteria. All admitted applicants within the relevant category(-ies) will be invited to submit additional or updated information relating to: • economic and financial standing; and/or • technical and professional ability.

When an additional qualification stage is initiated, it will be possible – for the specific procurement – to include new supporting entities, cf. section 3.10.1. In the event of a new prequalification

BeGreen intends to select a sufficient number of qualified tenderers to ensure effective competition and will typically invite between 3 and 7 tenderers, unless fewer suitable candidates are available.

Additional information In the event of initiating an additional prequalification stage, cf. number 4 above, BeGreen reserves the right to request additional information of relevance to the specific procurement. This may include e.g. (non-exhaustive list):

• Additional reference information (including, but not limited to, minimum size capacity and commissioning/permit status) • Details on technical specifications or production capacity requirements • Use of tools and equipment for the execution of the contract • Information regarding subcontractor selection and management processes, including supported auditing evidence • Compliance with specific standards (or equivalent) • Requirements concerning higher annual turnover, higher annual equity, higher annual solvency ratio and/or additional financial capacity, if justified by the expected contract value and/or concurrent execution requirements. slc-stand-ratio The applicant shall provide information on its economic and financial standing in Part IV, Section B of the ESPD.

The applicant must meet the following minimum requirement: Average Solvency ratio: At least 15 % for the last three available financial years.

If the applicant has not been established for three years, the required information must be provided for the financial years available. The minimum requirement will then apply only to that period.

For groups of undertakings (e.g. a consortium), the solvency ratio is calculated as the total equity of the group in relation to the total assets of the group, expressed as a percentage.

Where the applicant relies on the financial capacity of other entities, the applicant’s solvency ratio is calculated as the combined total equity of the applicant and those entities in relation to their total combined assets, expressed as a percentage.
